(“AudioEye” or the “Company”) (Nasdaq: AEYE), the industry-leading digital accessibility company, today announced the pricing of the previously announced underwritten secondary offering of up to 1,250,000 shares of its common stock to be sold by certain selling stockholders at a price to the public of $24.00 per share, before underwriting discounts and commissions. The offering is expected to close on December 6, 2024, subject to customary closing conditions. The underwriters have a 30-day option to purchase up to an additional 187,500 shares of the Company’s common stock from the selling stockholders at the public offering price, less underwriting discounts and commissions.
Needham & Company is acting as Sole Book-Runner, and Roth Capital Partners is acting as Lead Manager for the offering.
The selling stockholders will receive all of the net proceeds from the proposed offering. The Company will not sell any shares of its common stock in the proposed offering and will not receive any proceeds from the sale of shares of the Company’s stock in the offering.
